Please read these Terms of Service ("Terms," "Terms of Service") carefully before using the website www.vineyards.buzz (the "Site") and services operated by Continental Vineyards LLC ("us," "we," or "our").

Your access to and use of the Site and our services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Site or our services.

By accessing or using the Site, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Site or use our services.

1. Definitions

In these Terms, unless the context otherwise requires:

  • "Client" means any person or entity that engages us to provide services.
  • "Services" means the professional, scientific, and technical services we provide, including but not limited to computer systems design, systems integration, technical consulting, and software development.
  • "Deliverables" means any work product, code, documentation, or other materials produced by us in the course of providing Services.
  • "Confidential Information" means any and all non-public, proprietary, or confidential information disclosed by either party.

2. Services

Continental Vineyards LLC provides computer systems design and related professional services to enterprises across multiple industries. The specific scope, timeline, and deliverables for each engagement are defined in a separate statement of work, proposal, or service agreement executed between us and the Client.

We reserve the right to refuse service to anyone for any reason at any time. We also reserve the right to modify, suspend, or discontinue any aspect of our Services at any time.

3. Client Responsibilities

When engaging our Services, you agree to:

  • Provide accurate, current, and complete information as requested
  • Cooperate with us in a timely manner, including providing necessary access, data, and feedback
  • Ensure you have the right and authority to provide any materials, data, or intellectual property you share with us
  • Comply with all applicable laws and regulations in connection with your use of our Services
  • Maintain the confidentiality of any credentials or access we provide

4. Intellectual Property

4.1 Our Pre-Existing Materials

All intellectual property rights in our methodologies, tools, frameworks, templates, and other pre-existing materials remain our exclusive property. We grant Clients a non-exclusive, non-transferable license to use such materials solely as necessary to benefit from the Services.

4.2 Custom Deliverables

Upon full payment of fees, ownership of custom Deliverables created specifically for a Client under a signed agreement transfers to that Client, unless otherwise agreed in writing. We retain the right to use general knowledge, skills, and experience gained during the engagement.

4.3 Website Content

All content on this Site, including text, graphics, logos, images, and software, is the property of Continental Vineyards LLC or its content suppliers and is protected by United States and international copyright laws.

5. Fees and Payment

Fees for our Services are set forth in the applicable proposal, statement of work, or service agreement. Unless otherwise specified:

  • Payment terms are net 30 days from the date of invoice
  • Late payments may incur interest at the maximum rate permitted by law
  • We may suspend Services for accounts with outstanding balances exceeding 30 days
  • All fees are exclusive of applicable taxes, which are the Client's responsibility

6. Confidentiality

Both parties agree to maintain the confidentiality of each other's Confidential Information and to use such information only for the purpose of fulfilling obligations under the applicable engagement. This obligation survives termination of the engagement for a period of five (5) years, or indefinitely for trade secrets.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Continental Vineyards LLC and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of, or inability to access or use, our Services or Site
  • Any conduct or content of any third party on the Site or in connection with our Services
  • Any unauthorized access to, use of, or alteration of your transmissions or content
  • Any errors, omissions, or inaccuracies in our Deliverables or Site content

In no event shall our total liability to you exceed the amount you paid us in the twelve (12) months preceding the claim, or $1,000 USD, whichever is greater.

8. Indemnification

You agree to indemnify, defend, and hold harmless Continental Vineyards LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of our Services, your violation of these Terms, or your infringement of any third-party right.

9. Termination

Either party may terminate an engagement in accordance with the termination provisions set forth in the applicable service agreement. Upon termination:

  • All outstanding fees for work completed through the termination date become immediately due
  • Each party shall return or destroy the other's Confidential Information
  • Any provisions that by their nature should survive termination shall survive

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved by binding arbitration in San Luis Obispo County, California, in accordance with the rules of the American Arbitration Association.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Site with a new "Last Updated" date. Your continued use of the Site or Services after any such changes constitutes acceptance of the new Terms.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with any applicable service agreement or statement of work, constitute the entire agreement between you and Continental Vineyards LLC regarding the use of our Site and Services, superseding any prior agreements.
